By accessing the website, submitting a message, uploading a file or initiating a commercial discussion with RBC Real Estate Ltd, the user confirms that they have read, understood and accepted these Terms.
2. Company Identity
RBC Real Estate Ltd is presented on the website as a private coordination platform for institutional capital, PPP/JV funding, project finance, commercial mandates and bank instruments. Registered office, registration number, tax/VAT number, competent authority and legal representative details should be completed in accordance with the company's official corporate records before publication or contractual use.
3. Services and Products
The website presents mandate intake, eligibility review, bankability review, project finance preparation, PPP/JV and concession structuring, capital coordination, institutional lender and investor routes, private credit, DFI/ECA pathways, bank guarantees, SBLCs, letters of credit and related SWIFT procedures where applicable.
These services do not constitute a public offer, prospectus, investment recommendation, legal advice, tax advice, regulated financial advice or guarantee of funding.
4. No Guarantee
RBC Real Estate Ltd does not guarantee that a project will be accepted, that a bank or investor will approve a transaction, that a bank instrument will be issued or credited, or that any source of capital will be available for a specific project. Any binding commitment may arise only from a mandate, contract, term sheet or document signed by the competent parties.
5. User Eligibility
The user represents that they have legal capacity to use the website, submit accurate and complete information, upload documents lawfully and avoid any use connected with fraud, money laundering, terrorist financing, sanctions evasion, bribery, unlawful conduct or infringement of third-party rights.
6. Project and Document Submission
The website form may collect name, email, funding area, message and project file. Uploaded documents may contain commercial, financial, corporate, technical, banking or personal information. The user confirms that they hold all required rights and approvals to submit such documents to RBC Real Estate Ltd.
RBC Real Estate Ltd may refuse or stop reviewing a project if the information is incomplete, contradictory, unverifiable, compliance-sensitive or incompatible with internal policy.
7. Confidentiality and Third Parties
All data, documents, files, messages, commercial information and personal information submitted to RBC Real Estate Ltd are treated as confidential, except where lawfully public or legally required to be disclosed.
No third party has the right to access, copy, store, analyse, transmit, disclose, publish, use or process data and documents received through RBC Real Estate Ltd without the prior written approval of RBC Real Estate Ltd.
Any authorised third party must act under written approval, an NDA, DPA or equivalent contract, written RBC instructions, appropriate security measures, no-own-use obligations and no right of onward transfer or sub-processing without further written approval.
8. Banks, Investors and Institutional Partners
Depending on the project, RBC Real Estate Ltd may communicate with banks, investors, lawyers, consultants, auditors, IT providers, public authorities or institutional partners. Data may be disclosed only where necessary, lawful, authorised by RBC Real Estate Ltd and subject to confidentiality, data-protection, AML, sanctions and security requirements.
9. KYC, AML and Compliance
For certain projects, RBC Real Estate Ltd may request information regarding the client, representatives, beneficial owners, group structure, source of funds, project history, signing authority, political exposure, sanctions screening and anti-bribery compliance. Refusal to provide necessary information may result in suspension or rejection of the review.
10. Professional Costs
Depending on the complexity of the project, professional costs may apply for mandate analysis, due diligence, compliance screening, legal documentation, financial review, data room preparation, financial modelling, bank review or other services. Payment of professional costs is not payment for a promise of funding.
11. Bank Instruments
Bank guarantees, SBLCs, letters of credit and SWIFT procedures are subject to the rules and approval of the relevant banks and institutions. RBC Real Estate Ltd does not guarantee issuance, confirmation, amendment, payment, crediting or acceptance of any instrument.
12. Intellectual Property
The texts, structure, design, marks, graphics and website materials belong to RBC Real Estate Ltd or its partners, as applicable. Use of the website does not transfer intellectual-property rights to the user.
13. Personal Data and Cookies
Personal data is processed in accordance with the Privacy and Data Protection Policy. Cookies and similar technologies are governed by the Cookie Policy. Non-essential cookies should be used only in accordance with the law and, where required, with consent.
14. Limitation of Liability
To the extent permitted by law, RBC Real Estate Ltd is not liable for bank or investor decisions, losses resulting from incomplete or false user data, temporary website unavailability, indirect losses, external website content or actions of unauthorised third parties, except where law provides otherwise.
15. Changes

16. Governing Law
The governing law and jurisdiction should be confirmed by counsel. Recommended wording, subject to legal confirmation: these Terms are governed by Romanian law to the extent applicable to the use of rbcrealestate.ro, unless a signed contract between the parties provides otherwise.
